01What the Site is for
The Site describes Upfront's point of sale software, apps, hardware and services for grocery stores. It is for information only. The interactive demos, sample screens, store names, prices and figures shown on the Site are examples and do not reflect any real store or offer.
02Products and services
Buying, licensing or using Upfront products and services is governed by the separate agreement you sign with Upfront or with an authorized Upfront partner, not by these terms. Features, hardware, availability and pricing can change, and some depend on your processor, your state programs or third-party services.
03Intellectual property
The Site and its content, including text, graphics, 3D models, animations, software and the Upfront name and logo, belong to Upfront or its licensors and are protected by law. You may view the Site and download the brochure for your own business use. You may not copy, modify, distribute or sell its content without our written permission.
Other names and logos on the Site, including those of our customers, partners, payment networks, hardware makers and app platforms, belong to their owners and are used only to identify them. Their appearance does not mean they endorse Upfront unless we say so.
04Acceptable use
You agree not to:
- Use the Site in a way that breaks the law or infringes anyone's rights
- Try to gain unauthorized access to the Site, our systems or other users' data
- Interfere with the Site, for example with malware, excessive automated requests or attempts to overload it
- Copy the Site's content or code to build a competing product
- Submit false information or someone else's information through our forms
05Information you send us
You are responsible for the information you send through the Site and confirm that it is accurate and yours to share. Our Privacy Policy explains how we handle it. Suggestions or ideas you send may be used by Upfront without obligation to you.
06Third-party links
The Site links to sites and apps we do not control. We are not responsible for their content, terms or practices.
07Disclaimer
THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT ALLOWED BY LAW, UPFRONT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE OR FREE OF HARMFUL COMPONENTS.
08Limitation of liability
TO THE FULLEST EXTENT ALLOWED BY LAW, UPFRONT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA, ARISING FROM YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM ABOUT THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). Some states do not allow these limits, so they may not apply to you.
09Indemnity
You agree to defend and hold Upfront harmless from claims arising from your misuse of the Site or your violation of these terms.
10Governing law
These terms are governed by the laws of the State of New York, without regard to its conflict of laws rules. Any dispute about the Site will be heard in the state or federal courts located in New York, and you consent to their jurisdiction.
11Changes
We may change these terms or the Site at any time. The date at the top shows when the terms last changed. Using the Site after a change means you accept the new terms.
